Selloxx Rules and Regulations
SELLOXX, INC.
GENERAL RULES AND REGULATIONS
1. All Selloxx, Inc. ("Selloxx") Customers and their representatives, employees, contractors, agents, invitees, and users of Customers' facilities and all Selloxx contractors, vendors, invitees, or agents ("Visitors") are subject to these Rules and Regulations in connection with their use of or access to Selloxx Services.
2. All equipment installation activities must be pre-approved by Selloxx. Any one installing any type of equipment in the Selloxx network must first check in with a member of Selloxx’s staff and provide the necessary information about the equipment and the installation prior to commencing any installation activities.
3. A Visitor is not authorized to and shall not approach, handle, use, inspect or examine in any way any equipment, cabinets, suite space, or floor space, other than their own.
4. A Visitor's access to or use of the Selloxx network exchange and the building in which it is located shall at all times comply with the rules and regulations promulgated by the owner of such building from time to time, a copy of which may be obtained from Selloxx.
5. A Visitor is not authorized to and shall not disclose the identity of any Selloxx customers.
6. The Selloxx network exchange shall be kept neat and orderly at all times. Visitors shall remove all of its trash and debris upon departure from the network exchange. Selloxx shall have the right to remove and discard any trash and debris left in the network exchange in violation of the foregoing, and to charge the Visitor for such trash removal.
7. At conclusion of any work in a network exchange, the Visitor shall ensure all cables are routed and dressed neatly in cabinets and all doors are closed and locked and the equipment or area is left in a closed, orderly, and secure manner. The Visitor and the Visitor's authorized representatives may bring into the network exchange tools and portable test equipment, approved by Selloxx, provided that the Visitor or its authorized representatives are responsible for and remove or secure the same upon their departure from the network exchange.
8. If the network exchange is located other than on the ground floor of the building, use of freight elevator is available only with prior Selloxx approval.
9. Dollies and carts are available from Selloxx and all use of dollies and carts must be pre-authorized by Selloxx.
10. Any and all equipment, including Customer Equipment, operated within a network exchange must be configured and operate at all times in compliance with the applicable manufacturer's specifications, including, without limitation, any specifications as to power consumption and/or clearance requirements.
11. No sign, advertisement, notice or object shall be displayed by a Customer or Visitor in or on the exterior of the network exchange walls, doors, ceilings, or racks without Selloxx’s prior approval.
12. No Visitor shall at any time bring into or keep upon the network exchange premises any hazardous, inflammable, combustible, explosive, or otherwise dangerous fluid, chemical or substance at any time.
13. No acids, vapors or other materials shall be discharged or permitted to be discharged into the waste lines, vents or flues of the network exchange.
14. Customer may not bring or use any of the following in a network exchange tobacco products, explosives, weapons, chemicals, illegal drugs, electro-magnetic devices, radioactive materials, photographic or recording equipment of any kind (other than tape back-up equipment for use with the Customer Equipment). Weapons are not allowed in the network exchange at any time. Food and drink and alcoholic beverages may be allowed in the office areas of a network exchange with Selloxx's prior permission, but never in the raised floor area.
15. Selloxx reserves the right to inspect all objects to be brought into or taken out of the network exchange and to exclude from the network exchange all objects which violate any of these Rules and Regulations. Selloxx may require any person entering or leaving the network exchange with any package to document the contents of the package.
16. All connections to and from Customer Equipment must be clearly labeled. Customers may use Selloxx’s labeling code or choose to use their own code. All Customer labeling codes must be provided to
Selloxx for purposes of configuration control.
17. Periodically, Selloxx will conduct routine, non-emergency scheduled maintenance of the network exchange and Services. Selloxx shall notify Customers a minimum of five calendar days in advance of said maintenance. Customer agrees to cooperate with Selloxx during the scheduled maintenance so that Selloxx minimizes Customer impact. Product specific SLAs addressing maintenance periods will govern over this general rule, to the extent they differ. Selloxx may require emergency maintenance windows on rare occasions and will provide as much notification as practicable.
ACCESS CONTROL
18. Only those individuals specifically identified by an authorized employee of the Customer may access the network exchange ("Permitted Individuals").
19. It is Customer's responsibility to notify Selloxx in writing of any change in Customer's Permitted Individual's list, or the identity of those who can and cannot provide Selloxx with such a list. Selloxx may rely on the most current Permitted Individual list in deciding who shall gain access.
20. Customer's Permitted Individuals shall stay in the vicinity of their own equipment when in the Selloxx facility and Visitors shall stay in the vicinity of their own equipment or work or shall stay with an Selloxx escort while in the Selloxx facility.
21. All Visitors are required to sign the access log upon entry provide proper identification; and are then issued an Selloxx badge for access into and within the network exchange. Selloxx may retain a Visitor's identification in exchange for the badge while the Visitor is in the network exchange. The badge must be returned before the Visitor leaves the network exchange.
22. "Tailgating" is prohibited. Tailgating is the act of following a badged individual through access controlled doors without swiping the Visitor's own badge for access.
23. Visitors shall not access any portion of the network exchange (except for the Customer Area), including without limitation, the building roof, electrical or communications closets, the network exchange ceiling or floor, without prior consent from Selloxx and without an Selloxx escort.
CONDUCT GUIDELINES
24. Visitors may not misuse or abuse any Selloxx property or equipment.
25. Visitors may not verbally or physically harass, threaten, intimidate, or abuse any individual within the network exchange or while on Selloxx property, including without limitation, employees, agents, or invitees of Selloxx or other Visitors. Abusive and threatening or offensive behavior by any Visitor will not be tolerated.
26. Visitors may not engage or assist in any activity that violates the law or aids in criminal activity while in the network exchange or on Selloxx property or in connection with the Services.
27. Selloxx may refuse entry to, or require the immediate departure of, any individual who (i) is disorderly, (ii) fails to comply with these Rules and Regulations, or (iii) fails to comply with any of Selloxx's other procedures and requirements after being advised of them.
MODIFICATION OF RULES AND REGULATIONS
Selloxx reserves the right to change these Rules and Regulations at any time, provided that the Customer is informed in advance of any such change. Visitors are responsible for regularly reviewing these Rules and Regulations. After reviewing the then applicable Rules and Regulations, continued use of and access to the network exchange or use of the Services shall constitute the Visitor's acceptance of such changes.
